このRiBLA Studio利用規約は、お客様が、エイベックス・テクノロジーズ株式会社(以下「当社」といいます。)が提供する「RiBLA Studio」(以下「本アプリ」といいます。)をご利用頂く際の当社と利用者との間の権利義務関係及び取扱いにつき定めるものです。本規約は、利用者による本アプリの利用に関する一切に適用されます。本規約に同意した上で本アプリをご利用ください。
なお、利用者が未成年者の場合には、親権者に本規約を確認して頂き、親権者の同意を得て本アプリをご利用ください。本アプリをご利用された未成年の利用者は、第2条の定めに従い、親権者の上記同意を得て利用しているものとみなします。ただし、利用者の居住している国において13歳未満の方による本アプリの利用を制限する強行規定が存在する場合は、上記にかかわらずその方が本アプリを利用することはできません。

第1条(定義)

本規約上で使用する用語の定義は、次に掲げるとおりとします。

1 「アセット」とは、当社が自ら又は権利者の利用許諾を受けて本アプリ上で提供する画像、キャラクターモデル等をいいます。
2 「利用者」とは、本アプリを利用する全ての方をいいます。
3 「動画」とは、本アプリを利用して利用者が作成した動画、画像その他の成果物を総称して言います。
4 「個人情報」とは、住所、氏名、職業、電話番号等個人を特定することのできる情報の総称をいいます。
5 「知的財産」とは、発明、考案、意匠、著作物その他の人間の創造的活動により生み出されるもの(発見又は解明がされた自然の法則又は現象であって、産業上の利用可能性があるものを含みます。)、商標、商号その他事業活動に用いられる商品又は役務を表示するもの並びに営業秘密その他の事業活動に有用な技術上又は営業上の情報をいいます。
6 「知的財産権」とは、特許権、実用新案権、意匠権、著作権、商標権その他の知的財産に関して法令等により定められた権利又は法律上保護される利益に係る権利をいいます。
7 「利用契約」とは、第2条第2項に従い成立する契約をいいます。

第2条(本規約への同意)

1 利用者は、本規約に同意頂いた上で、本アプリを利用できるものとします。
2 利用者が、本アプリを購入した時点で、利用者と当社との間で、本規約の諸規定に従った利用契約が成立するものとします。
3 利用者が未成年者である場合には、親権者その他の法定代理人の同意を得たうえで、本アプリをご利用ください。
4 未成年者の利用者が、法定代理人の同意がないにもかかわらず同意があると偽り又は年齢について成年と偽って本アプリを利用した場合、その他行為能力者であることを信じさせるために詐術を用いた場合、本アプリに関して当該利用者が行った一切の法律行為を取り消すことは出来ません。
5 本規約の同意時に未成年であった利用者が成年に達した後に本アプリを利用した場合、当該利用者は本アプリに関する一切の法律行為を追認したものとみなされます。

第3条(動作環境)

1 当社が認めた動作環境以外の環境においては、本アプリにおいて提供するサービスの全部又は一部がご利用できない場合がございます。なお、動作環境以外からの動作は保証しておりませんのでご注意下さい。
2 利用者は、本アプリを利用するために必要となる端末及び動作環境を、自己の費用と責任において準備し、本アプリが利用可能な状態に置くものとします。また、自己の費用と責任で、任意の電気通信サービスを経由して本アプリに接続するものとします。
3 本アプリへの外部データ(本アプリでの利用が可能なデータであり、当社が提供するデータではなく利用者がその責任で用意し本アプリに取り込むデータをいいます。以下同じとします。)の取り込み及び動画への利用並びに本アプリ上で当社所定の時間を超える長さの動画の作成は、Meta Quest 2及び当社が別途推奨するバージョンの機器での利用を推奨いたします。

第4条(動画の作成)

1 利用者は、本アプリ上において有償又は無償で提供されるアセット及び外部データを、別途定めるガイドライン等がある場合は当該ガイドライン等を遵守し、かつ当社が認める範囲で利用することにより、本アプリ上で動画を作成することができます。なお、当社は、すべての外部データが本アプリ上で適切に動作すること及び外部データの利用により本アプリが正常に動作することを何ら保証しません。
2 利用者は、利用者の本アプリの利用に関する一切のデータ(アセット、シーンデータ、モーションデータを含みますが、これに限りません。以下同様です。)を、その本アプリ内でのみ、かつガイドライン等及び当社が定めた範囲及び用途でのみ使用することができます。利用者の本アプリの利用に関する一切のデータに係る所有権又は知的財産権は、利用者がその所有権又は知的財産権を有する者を除き、当社又は権利を有する第三者に帰属し、利用者がこれらを取得することはありません。

第5条(配信)

1 利用者は、本アプリ上で作成した動画を、当社が認める外部のSNSサービス及び動画サービス(以下「外部サービス」といいます。)を用いて、当社が認める方法で配信することができます。当社が認める外部サービスは、別途当社が相当と認める方法により利用者に周知します。なお、アセット、シーンデータ又はモーションデータの権利を有する者による外部サービスの指定がある場合には、利用者は当該指定の外部サービス以外での配信はできないものとし、当該外部サービスは、当社が認める外部サービスとともに、別途当社が相当と認める方法により利用者に周知します。
2 利用者は、前項に従い動画を配信する場合には、利用する外部サービスの利用規約、利用条件等を遵守するものとします。
3 利用者は、本アプリ上で作成した動画を、当社が認める外部サービス以外で利用、配信等を行うことはできないものとします。
4 当社において、利用者が前三項に違反すると認めた場合、当社は、事前の通知なく、利用停止、投稿削除、外部サービスへの投稿削除依頼、利用の一時停止、退会処分その他当社が必要と判断した措置を取ることができます。また、利用者は、当社の指示に従い直ちに配信の停止、削除その他の当社が求める措置を講ずるものとします。

第6条(利用者の責任)

1 利用者は、本アプリのご利用に際して、第三者の知的財産権その他一切の権利を侵害しないことを表明・保証し、利用契約の有効期間中は第8条に定める禁止事項に該当しないことを確約するものとします。
2 利用者は、本アプリのご利用が利用者自身の責任において行われるものであり、当社は一切関与しないことを確認するものとします。また、利用者は、万一、利用者による本アプリのご利用に起因又は関連して、第三者から権利の侵害の事実の指摘その他クレーム・請求等(以下「請求等」といいます。)がなされた場合には、自己の責任と費用においてこれを解決しなければならないものとします。ただし、本アプリから提供されたアセット自体に関して第三者から権利の侵害に係る請求等がなされた場合は、利用者は、速やかに当社に当該請求等の事実を通知するものとし、その場合の対応については別途協議の上決定するものとします。
3 本アプリのご利用にあたっては、自己の責任のもと、利用者の周囲の状況に注意し、安全に利用してください。法令等により許容される限度において、当社は、利用者による本アプリの利用中に発生する可能性のあるすべての物的損害、人身傷害又は死亡に関していかなる責任も負いません。
4 利用者は、外部データを利用するにあたっては、当該外部データに係る権利者の知的財産権その他一切の権利を侵害していないことを保証し、これらの権利を侵害しないものとします。当社は、利用者と外部データの権利者の間に生じた一切の紛争等について何ら責任を負わず、利用者は外部データの利用にあたり当社に損害、損失及び費用を発生させないものとします。

第7条(情報等の取扱い)

1 当社による利用者の情報の取扱いについては、別途当社プライバシーポリシー(https://avex.com/jp/ja/public/privacy/)の定めによるものとし、利用者はこのプライバシーポリシーに従って当社が利用者の情報を取扱うことについて同意するものとします。
2 当社は、利用者が当社に提供した情報、データ等を、個人を特定できない形での統計的な情報として、当社の裁量で、利用及び公開することができるものとし、登録ユーザーはこれに異議を唱えないものとします。
3 当社は、利用者の本アプリ上の行動履歴及びご利用状況を含む本アプリ上の匿名のデータを収集及び解析し、アップデートの提供、業務及び製品の利便性向上又は製品開発の参考等のために利用します。

第8条(禁止行為)

1 本アプリの利用に際し、利用者に対し、次に掲げる行為をすることが禁止されます。当社において、利用者が禁止事項に違反したと認めた場合、当社は、事前の通知なく、利用の一時停止、退会処分その他当社が必要と判断した措置を取ることができます。

(1) 当社又は第三者の知的財産権を侵害し、又は侵害するおそれのある行為
(2) 当社又は第三者の財産、第三者のプライバシー又は肖像権を侵害し、若しくは侵害するおそれのある行為
(3) 他人の名義、会社等の組織名を名乗ること等による、他者へのなりすまし行為
(4) 他者を差別、誹謗中傷する行為、他者の名義を盗用する行為、その他他者の名誉若しくは信用を毀損し、又は毀損するおそれのある行為
(5) 詐欺、規制薬物の濫用、児童売買春、預貯金口座及び携帯電話の違法な売買等の犯罪に結びつく、又は結びつくおそれのある行為
(6) わいせつ、児童ポルノ若しくは、児童虐待に相当する画像、文書等第三者に不快感を与える内容を送信若しくは表示する行為、これらを収録した媒体を販売する行為、又はその送信、表示、販売を想起させる広告を表示若しくは送信する行為
(7) 別途認められている場合を除き、当社の許諾を得ない売買行為、オークション行為、金銭支払やその他の類似行為
(8) 当社の許諾を得ない商品又はサービスの広告、宣伝、その他スパムメール、チェーンメール等の勧誘を目的とする行為
(9) 第三者に対して、自らのEメールアドレス・電話番号等を公開、通知する行為
(0) 当社若しくは第三者の電気通信設備の利用若しくは運営に支障を与える、又は与えるおそれのある行為
(11) 本アプリにより利用しうる情報を改ざんし、又は消去する行為
(12) 当社が提供するアプリの解析、逆コンパイル、逆アセンブル、リバースエンジニアリング行為
(13) 不正ツール、不正アプリケーション、本アプリの海賊版、チートツールその他本アプリの不正利用を目的としたプログラムの開発、配布若しくは使用、又はこれらの行為を第三者に誘発、推奨させるような一切の行為
(14) コンピュータウィルスその他の有害なコンピュータ・プログラムを含む情報を送信する行為
(15) 第三者の個人情報を同意なく収集、公開、又は提供する行為
(16) 選挙の事前運動、選挙運動又はこれらに類似する行為及び公職選挙法に抵触する行為
(17) 宗教活動、団体への勧誘行為
(18) アプリの不具合や障害を不正な目的で利用する行為又はそれを第三者へ伝達する行為
(19) 人を自殺又は自傷行為に誘引又は勧誘する行為
(20) 当社による本アプリの運営を妨害するおそれのある行為
(21) 異性との交際を希望する書き込みその他本アプリを出会い系サイトとして用いる目的と当社が認める行為
(22) その他公序良俗に違反し、法に違反し、又は当社若しくは他人の権利を侵害すると判断される行為
(23) 本規約に一つでも違反する行為
(24) 本アプリが予定している利用目的と異なる目的で本アプリを利用する行為
(25) 反社会的勢力等への利益供与
(26) 一人の利用者が、複数の利用者IDを取得する行為
(27) 上記各号のほか、アセット、シーンデータ及びモーションデータのイメージを著しく損なう行為
(28) 上記各号の行為を試みること
(29) 上記の他、当社が不適切と判断する行為

2 当社は、利用者が本アプリを利用して、又は本アプリを利用して作成した動画をもとにして、ガイドライン等及び当社が定めた範囲及び用途を超えて作成された動画又は前項各号の行為に該当する動画を作成し、配信することを禁止します。当社において、利用者が作成し、配信した動画がこれらに違反するものであると認めた場合、当社は、事前の通知なく、利用停止、投稿削除、外部サービスへの投稿削除依頼、利用の一時停止、退会処分その他当社が必要と判断した措置を取ることができます。また、利用者は、利用者の作成した動画が以下に該当すると当社が認めた場合には、当社の指示に従い直ちに配信の停止、削除その他の当社が求める措置を講ずるものとします。

第9条(料金及び支払方法)

1 利用者は、本アプリの対価として、別途当社が定める料金を、Oculusサービス利用規約に従って支払うものとします。
2 利用者は、当社の定める対価を支払うことにより、有料で提供されるアセットを購入することができます。有料で提供するアセットの種類、金額その他の事項は、別途当社が定めて表示します。
3 当社は、有料又は無料のアセットについて、当社の裁量でその価格を変更することがあります。

第10条(知的財産権)

1 本アプリに関する知的財産権及び本アプリから提供又は取得されるアセット、画像、文章、情報等その他一切の知的財産権は、全て当社又は当社に利用許諾をしている権利者に帰属します。本規約に基づく本アプリ及び本アプリから提供又は取得されるアセット、画像、文章、情報等に係る利用許諾は、本規約に明示的に定める範囲を超えて、本アプリ又はアセットに関する当社又は当社にライセンスを許諾している者の知的財産権を譲渡し又はその利用を許諾するものではありません。
2 利用者は、本アプリを用いて作成する動画及び利用する外部データについて、自らが作成、配信その他送信することについての適法な権利を有していること、及び第三者の権利を侵害していないことについて、当社に対し表明し、確約するものとします。
3 利用者は、本アプリを用いて作成した動画について、当社又は当社に利用許諾をしている権利者が、本アプリ及びこれに付随するサービスの提供及び利用促進(プロモーション)に必要な範囲において、フィルタリング等の処理を実施することを許諾します。また、利用者は、当社又は当社に利用許諾をしている権利者が、本アプリを用いて作成した動画を利用(翻案等も含みます。)することについて、全世界における、無償、サブライセンス可能かつ取消不能のライセンスを許諾し、当社又は当社に利用許諾をしている権利者が動画をプロモーション等に利用することを許諾します。当該ライセンスの期間はライセンスの根拠となる権利の存続期間と同一とします。なお、当社は、本アプリを用いて作成した動画をプロモーションの目的を超えて営利目的で利用する場合において、当社が必要と認めるときは、当該利用者との間における個別の同意において、当該動画に係る一切の著作権(著作権法第27条及び第28条に関する権利を含むがこれに限られません。)を譲り受けるとともに、個別の同意に基づき対価を支払うことがあります。
4 利用者は、当社、当社に利用許諾をしている権利者及び当社から権利を承継し又は許諾された者に対して著作者人格権等の一身専属的な権利を行使しないことに同意するものとします。

第11条(本アプリの中断・停止)

1 当社は、以下のいずれかに該当する場合には、利用者に事前に通知することなく、本アプリの全部又は一部若しくはアセットの全部又は一部の提供を停止又は中断することができるものとします。

(1) 本アプリに係るコンピューター・システムの点検又は保守作業を緊急に行う場合
(2) アセットの権利者から要請を受けた場合
(3) コンピューター、通信回線等の障害、誤操作、過度なアクセスの集中、不正アクセス、ハッキング等により本アプリの運営ができなくなった場合
(4) 地震、落雷、火災、風水害、停電、天災地変などの不可抗力により本アプリの運営ができなくなった場合
(5) その他、当社が停止又は中断を必要と判断した場合

2 当社は、利用者が本アプリを利用したこと若しくは利用できないこと、又は外部サービスを利用したこと若しくは利用できないことによって利用者及び第三者に生じた損害、本規約の条項のいずれかに利用者又は他の利用者が違反したことに起因又は関連して利用者に生じた損害、及び前項に規定する当社による対応に起因又は関連して利用者に生じた損害について、直接的又は間接的な損害を問わず一切責任を負わないものとします。また、本アプリの利用により発生した通信料について利用者と通信会社との間で争いが生じた場合も、当社は、当該紛争について一切責任を負わないものとします。

第12条(免責・損害賠償)

1 当社は、本アプリの内容変更、中断、終了によって生じたいかなる損害(利用者による本アプリの利用、外部データの利用又は動画の公開若しくは配布に起因して生じた如何なるクレーム、訴訟及び損害(通常損害、特別損害、直接的損害、派生的・間接的・付随的・偶発的損害、逸失利益、その他あらゆる種類の損害を含みます。当社らがこのような損害が起こる可能性を知り得たかどうかに関わりません。以下、本条において同様とします。)について一切責任を負いません。
2 当社は、利用者による本アプリの利用環境について一切関与せず、また一切の責任を負いません。
3 当社は、本アプリが利用者の特定の目的に適合すること、期待する機能、商品的価値、正確性、有用性を有すること、利用者による本アプリの利用が利用者に適用のある法令等又は業界団体の内部規則等に適合すること、及び不具合が生じないことについて、何ら保証するものではありません。
4 当社は、本アプリが全ての情報端末に対応していることを保証するものではなく、本アプリの利用に供する端末のOSのバージョンアップ等に伴い、本アプリの動作に不具合が生じる可能性があることにつき、利用者はあらかじめ了承するものとします。当社は、かかる不具合が生じた場合に当社が行うプログラムの修正等により、当該不具合が解消されることを保証するものではありません。また、当社は、外部データが本アプリ上で正常に動作(動画のデータが正常に再生、保存されることも含みます。以下本項において同様です。)すること及び当社所定の時間を超える動画について本アプリ上が正常に動作することを保証するものではありません。
5 利用者は、Meta社が販売・運営するVRデバイスに関連する利用規約及び運用方針の変更等に伴い、本アプリの一部又は全部の利用が制限される可能性があることをあらかじめ承諾します。
6 当社は、本アプリを利用したことにより直接的又は間接的に利用者に発生した損害について、一切賠償責任を負いません。
7 当社は、利用者その他の第三者に発生した機会逸失、業務の中断その他いかなる損害に対して、当社が係る損害の可能性を事前に通知されていたとしても、責任を負いません。
8 本契約が消費者契約法第 2 条第 3 項の消費者契約に該当する場合には、第1項、第2項、第6項及び第7項の規定は適用されないものとし、これらの場合において利用者に発生した損害が当社の債務不履行又は不法行為に基づくときは、当社に故意又は重大な過失がある場合を除き、本アプリ及びアセットの購入代金相当額を上限として損害賠償責任を負うものとします。
9 利用者と他の利用者との間の紛争及びトラブルについて、当社は一切責任を負わないものとします。利用者と他の利用者でトラブルになった場合でも、両者同士の責任で解決するものとし、当社には一切の請求をしないものとします。
10 利用者は、本アプリの利用に関連し、他の利用者に損害を与えた場合又は第三者との間に紛争を生じた場合(第8条(禁止行為)第2項の違反に関連して生じた損害や紛争を含むがこれに限りません。)には、自己の費用と責任において、かかる損害を賠償し、かかる紛争を解決するものとし、当社及びアセットの権利者には一切の迷惑や損害を与えないものとします。
11 利用者の行為により、第三者から当社が損害賠償等の請求をされた場合には、利用者の費用(弁護士費用)と責任で、これを解決するものとします。当社が、当該第三者に対して損害賠償金を支払った場合には、利用者は、当社に対して当該損害賠償金を含む一切の費用(弁護士費用及び逸失利益を含みます。)を支払うものとします。
12 利用者が本アプリの利用に関連して当社に損害を与えた場合、利用者の費用と責任において当社に対して損害を賠償(訴訟費用及び弁護士費用を含みます。)するものとします。

第13条(本アプリの変更・終了)

1 当社は、当社の必要により、提供するサービスの内容を変更(本アプリの機能又は仕様の変更やバージョンアップを含みます。)し、又は提供を終了することがあります。当社が本アプリの提供を終了する場合又は一部のサービスの利用を終了する場合、当社は原則として利用者に対して本アプリのウェブサイト又は本アプリ内において事前に通知又は公表します。
2 当社は、提供するサービスの内容を変更し、又は提供を終了したことに起因して利用者が損害を被ったとしても、一切責任を負いません。
3 利用者は、有料のアセットについて、当該アセットにおいて定められた期限が経過した場合、当該アセットの本アプリ上での提供が終了した場合、本アプリの提供が終了した場合には、当該アセットを利用する権利一切を失い、以後、当該アセットを利用できなくなることをあらかじめ異議なく同意するものとします。

第14条(本規約の変更)

1 当社は、変更の必要があると認めた場合、本規約の内容を変更することができるものとします。
2 当社は、本規約を変更するときは、変更後の本規約の施行時期及び内容を本アプリ上での掲示その他の適切な当社所定の方法により利用者に公表し、又は利用者に通知します。
3 利用者は、本規約変更後、本アプリを利用した時点で、変更後の本規約に異議なく同意したものとみなされます。

第15条(秘密保持)

利用者は、本アプリに関連して当社が利用者に対して秘密に取扱うことを求めて開示した非公知の情報について、当社の事前の書面による承諾がある場合を除き、秘密に取扱うものとします。

第16条(権利譲渡の禁止)

1 利用者は、当社の書面による事前の承諾がない限り、本規約上の地位及び本規約に基づく権利又は義務の全部又は一部を第三者に譲渡、移転、担保設定その他の処分をしてはならないものとします。
2 当社は、本アプリに係る事業の全部又は一部を当社の裁量により他社に譲渡することができるものとし、本アプリに係る事業を他社に譲渡した場合には、当該事業譲渡に伴い利用契約上の地位、本規約に基づく権利及び義務並びに利用者の登録事項その他の顧客情報を当該事業譲渡の譲受人に譲渡することができる。利用者は、かかる譲渡につき本項において予め同意したものとします。なお、本項に定める事業譲渡には、通常の事業譲渡のみならず、会社分割その他事業が移転するあらゆる場合を含むものとします。

第17条(連絡・通知)

1 本アプリに関するお問い合わせその他利用者から当社に対する連絡又は通知、及び本規約の変更に関する通知その他当社から利用者に対する連絡又は通知は、当社の定める方法で行うものとします。
2 当社が登録事項に含まれるメールアドレスその他の利用者の連絡先に連絡又は通知を行った場合、利用者は当該連絡又は通知を受領したものとみなします。

第18条(分離可能性)

本規約のいずれかの条項又はその一部が、消費者契約法その他の法令等により無効又は執行不能と判断された場合であっても、本規約の残りの規定及び一部が無効又は執行不能と判断された規定の残りの部分は、継続して完全に効力を有するものとします。

第19条(準拠法、管轄裁判所)

1 本規約及び利用契約は日本法に準拠し、日本法に従って解釈されます。
2 本アプリ又は本規約に関し当社と利用者との間で生じた一切の紛争については、東京地方裁判所を専属的合意管轄裁判所とします。

RiBLA Studio Terms of Use

These RiBLA Studio Terms of Use set forth the rights and obligations, and the handling thereof, between Avex Technologies Inc. (hereinafter, the “Company”) and you as the user during your use of “RiBLA Studio” (hereinafter, the “App”) provided by the Company. These Terms of Use apply to any use of the App by the user. Please use the App after agreeing to these Terms of Use.
A user who is a minor is required to have a person with parental authority confirm these Terms of Use, and may use the App with the consent of the person with parental authority. A minor user who used the App will be deemed to have used the same with the foregoing consent of the person with parental authority in accordance with the provisions of Article 2. However, where there are any mandatory provisions restricting the use of the App by a person under 13 years of age in the country in which the user resides, such person may not use the App regardless of the foregoing.

Article 1 (Definitions)

The definitions of the terms used in these Terms of Use shall be as follows.

1 “Assets” means images, character models, etc. that the Company provides on the App, either independently or under license from the rights holder.
2 “Users” means everyone who uses the App.
3 “Videos” collectively means videos, images and other materials created by a user using the App.
4 “Personal information” collectively means information that can identify an individual, such as an address, name, occupation, telephone number, etc.
5 “Intellectual property” means inventions, devices, designs, copyrighted works, and other property produced through creative activities by human beings (including discovered or solved laws of nature or natural phenomena that are industrially applicable), trademarks, trade names and other marks that are used to indicate goods or services in business activities, and trade secrets and other technical or business information that is useful for business activities.
6 “Intellectual property right” means a patent right, a utility model right, a design right, a copyright, a trademark right, a right that is stipulated by laws and regulations on other intellectual property or right pertaining to an interest that is protected by acts.
7 “Use Agreement” means an agreement that is concluded in accordance with Article 2, paragraph 2.

Article 2 (Agreement to Terms of Use)

1. Users shall be able to use the App after agreeing to these Terms of Use.
2. A Use Agreement shall be deemed to have been concluded between the user and the Company in accordance with the provisions of these Terms of Use at the time purchase is made of the App by the user.
3. A user who is a minor may use the App with the consent of a person with parental authority or other legal representative.
4. If a minor user uses the App by misrepresenting that he/she has obtained the consent of a legal representative despite not having obtained consent, falsely claiming to be an adult, or otherwise using fraudulent means to make others believe that he/she has the capacity to act, any legal acts performed by such user in connection with the App may not be rescinded.
5. A user who was a minor at the time he/she agreed to these Terms of Use will be deemed to have assumed all legal acts in connection with the App upon use thereof after reaching adulthood.

Article 3 (Recommended Environment)

1. All or part of the services provided through the App may not be available in environments other than the recommended environment. Any operation other than from the recommended environment is not guaranteed.
2. Users shall, at their own expense and responsibility, prepare the device(s) and recommended environment required to use the App, and get the App into a usable state. Further, users shall, at their own expense and responsibility, connect to the App through a telecommunications service selected by the user.
3. Loading and usage of external data (Used here and below to mean data that is usable by the App but not provided by Company, and used by the User at their own recognisance and responsibility) as well as creation of videos longer than the guidelines set out by Company is only recommended on the Meta Quest 2 and other devices recommended by Company.

Article 4 (Creation of Videos)

1. Users may create videos on the App by using the assets provided for a fee or free of charge on the App as well as External Data, in compliance with separately prescribed guidelines, etc. if any exist, and to the extent permitted by the Company. Company offers no guarantee that any given External Data will function properly on the app.
2. All data related to the user’s use of the App (including but not limited to assets, scene data and motion data; the same shall apply hereinafter) may only be used within the App, and only within the guidelines, etc. and within the scope and uses specified by the Company. The ownership or intellectual property rights pertaining to all data related to the user’s use of the App, except where a user holds such ownership or intellectual property rights, belong to the Company or a third party who holds the rights, and the user shall not acquire the same.

Article 5 (Distribution)

1. The user may distribute videos created on the App using external social media services and video services (hereinafter, “External Services”) recognized by the Company. Users will be separately informed of External Services recognized by the Company through a method that the Company deems appropriate. Furthermore, in the event that the rights holder of any assets, scene data, or motion data specifies External Services for use, Users will not be able to use, distribute, etc. videos created on the App other than through the External Services recognized by the rights holder. Users will be separately informed of External Services recognized by the rights holder along with those recognized by the Company, through a method the Company deems appropriate.
2. When distributing videos in accordance with the preceding paragraph, users shall comply with the terms and conditions of use, etc. of the External Services used.
3. Users shall not be able to use, distribute, etc. videos created on the App other than through the External Services recognized by the Company.
4. If the Company deems that a user has violated the preceding three paragraphs, the Company may, without prior notice, suspend the user’s use, delete the user’s posts, request External Services to delete the user’s posts, temporarily suspend the user’s use, cancel the user’s registration, or take other measures deemed necessary by the Company. Further, the user shall immediately suspend any distribution, delete the same, and take other measures requested by the Company in accordance with the Company’s instructions.

Article 6 (Users’ Responsibilities)

1. Users represent and warrant that their use of the App shall not infringe the intellectual property rights or any other rights of third parties, and affirm that they will not fall under the prohibited acts set forth in Article 8 during the effective term of the Use Agreement.
2. Users acknowledge that their use of the App shall be at the user’s own risk and that the Company will not be involved in any way. Further, should any indication of an infringement of rights, or other claims or demands, etc. (hereinafter, “Claims, etc.”) be made by a third party arising from or in connection with a user’s use of the App, the user shall be required to resolve the same at the user’s own expense and responsibility. However, in the event any Claims, etc. are made by a third party regarding any infringement of its rights in connection with the assets themselves that were provided from the App, the user shall promptly notify the Company of such Claims, etc., and any action to be taken in such case shall be determined through separate consultation.
3. While using the App, users should pay attention to their surroundings and use it safely under their own responsibility. To the extent permitted by laws and regulations, the Company will not be liable for any and all property damage, personal injury or death that may occur during the user's use of the App.
4. User warrants that no use of External Data violates the copyrights or other rights of any 3rd party who may have a claim to such External Data. Company takes no responsibility for any disputes arising between User and such 3rd parties involving the use of External Data, and holds no liability for any damages or losses that may occur due to such usage.

Article 7 (Handling of Information, etc.)

1. The Company’s handling of users’ information shall be in accordance with the Privacy Policy separately prescribed by the Company (https://avex.com/jp/en/public/privacy/), and users shall agree to the handling of their information by the Company in accordance with this Privacy Policy.
2. The Company shall, at its sole discretion, be able to use and publish the information, data, etc. provided to it by its users as statistical data in a form that cannot identify an individual, and registered users shall not object to this.
3. The Company will collect and analyze anonymous data on the App, including users’ usage history and usage status on the App, and use the same to provide updates, improve the usability of a product or service, or to serve as reference, etc. for product development.

Article 8 (Prohibited Acts)

1. Users are prohibited from performing the following acts while using the App. If the Company deems that a user has violated a prohibited act, the Company may, without prior notice, temporarily suspend the user’s use, cancel the user’s registration, or take other measures deemed necessary by the Company.

(1) Acts that infringe or may infringe the intellectual property rights of the Company or a third party
(2) Acts that infringe or may infringe on the property of the Company or a third party, or the privacy or portrait rights of a third party
(3) Acts of impersonating others such as by using another person’s name or the organization name of a company, etc.
(4) Acts of discriminating against or slandering others, stealing the identity of others, and other acts that damage or may damage the honor or credibility of others
(5) Acts that lead to or may lead to criminal acts such as fraud, abuse of controlled drugs, child prostitution, illegal trading of savings accounts and mobile phones, etc.
(6) Acts of transmitting or displaying images, documents, etc. corresponding to obscenity, child pornography or child abuse, or content that would cause discomfort to a third party, acts of selling media containing such content, or acts of displaying or transmitting advertisements for the transmission, display, or sale thereof
(7) Acts of trading, auctioning, paying money or any other similar act without the consent of the Company, except as separately permitted
(8) Acts of advertising and promoting goods or services without the consent of the Company, or other acts for the purpose of solicitation such as spam mail, chain mail, etc.
(9) The act of disclosing or notifying the user’s own email address, telephone number, etc. to a third party
(10) Acts that interfere with or may interfere with the use or operation of the telecommunications equipment of the Company or a third party
(11) The act of falsifying or removing information available through the App
(12) Acts of analyzing, decompiling, disassembling, or reverse engineering the App provided by the Company
(13) Acts of developing, distributing or using illegal tools, illegal applications, pirated copies of the App, cheat tools, or other programs intended for the unauthorized usage of the App, or any act that induces or encourages third parties to perform such acts
(14) The act of transmitting information containing computer viruses or other harmful computer programs
(15) Acts of collecting, disclosing, or providing the personal information of third parties without their consent
(16) Acts of pre-election campaigning, election campaigning, or other similar acts, and acts in violation of the Public Offices Election Act
(17) Religious activities and acts of solicitation to join organizations
(18) The act of using a malfunction or failure of the App for illegal purposes or the act of communicating such information to a third party
(19) The act of inducing or encouraging persons to commit suicide or harm themselves
(20) Acts that may interfere with the Company’s operation of the App
(21) Posting that a user seeks a relationship with the opposite sex and other acts that are deemed by the Company to be using the App as a dating site
(22) Other acts that are deemed to violate standards of public decency, violate the law, or infringe on the rights of the Company or of others
(23) Acts that violate any provision of these Terms of Use
(24) Acts of using the App for purposes other than the intended purpose of the App
(25) Providing benefits to antisocial forces, etc.
(26) The act of a single user obtaining multiple user IDs
(27) In addition to the preceding items, any act that could badly damage the image of the assets, scene data, or motion data.
(28) Attempting any act listed in the preceding items
(29) Acts other than the above that the Company deems inappropriate

2. The Company prohibits users from using the App to create and distribute videos that were created outside of the guidelines, etc. and beyond the scope and uses specified by the Company, or videos that fall under the acts listed in any of the items in the preceding paragraph, and prohibits the use of any videos created using the app in a similar manner. If the Company deems that a video created and distributed by a user violates the same, the Company may, without prior notice, suspend the user’s use, delete the user’s posts, request External Services to delete the user’s posts, temporarily suspend the user’s use, cancel the user’s registration, or take other measures deemed necessary by the Company. Further, if the Company deems that a video created by a user falls under the following, the user shall immediately suspend any distribution, delete the same, and take other measures requested by the Company in accordance with the Company’s instructions.

Article 9 (Fees and Methods of Payment)

1. As consideration for the App, users shall pay the fees separately prescribed by the Company in accordance with the Oculus Terms of Service.
2. By paying the consideration prescribed by the Company, users may purchase assets that are provided for a fee. The Company will separately determine and display the types of assets provided for a fee, their prices and other information.
3. The Company may change the price of paid or free assets at its sole discretion.

Article 10 (Intellectual Property Rights)

1. All intellectual property rights related to the App, and all intellectual property rights to any assets, images, text, information, etc. provided by or acquired from the App belong to the Company or the rights holder who has granted a license to the Company. Licenses to the App and to any assets, images, text, information, etc. provided by or acquired from the App under these Terms of Use are not assignments of the intellectual property rights of the Company or the parties granting licenses thereto pertaining to the App or the assets, or grants to use the same beyond the scope specified in these Terms of Use.
2. Users represent and pledge to the Company that they have the legal right to create, distribute, and otherwise transmit videos created using the App, and that they are not infringing on the rights of third parties.
3. Users authorize the Company or the rights holders granting licenses thereto to perform filtering and other processing on videos created using the App to the extent necessary to provide and promote the use of the App and its accompanying services. Further, users grant to the Company or the rights holders granting licenses thereto a worldwide, royalty-free, sublicensable and irrevocable license to use videos created using the App (including adaptations, etc.), and authorize the Company or the rights holders granting licenses thereto to use such videos for promotions, etc. The term of such license shall be the same as the duration of the rights on which the license is based. In the event the Company uses a video created using the App for commercial purposes beyond the purpose of promotion, if the Company deems it necessary, it may receive all copyrights to the video (including but not limited to the rights in connection with Articles 27 and 28 of the Copyright Act) in a separate agreement with the user, and pay consideration pursuant to the separate agreement.
4. Users shall agree not to exercise personal rights such as moral rights against the Company, any rights holders granting licenses to the Company, or any successor or grantee of rights from the Company.

Article 11 (Discontinuation or Suspension of the App)

1. The Company may discontinue or suspend the provision of all or part of the App or all or part of the assets without prior notice to the user if any of the following applies.

(1) When emergency inspections or maintenance work are carried out on computer systems related to the App
(2) When requested by the rights holder of an asset
(3) When the App is unable to be operated due to computer or communications line failure, operational errors,system overload, unauthorized access, hacking, etc.
(4) When the App is unable to be operated due to force majeure events such as earthquakes, lightning strikes, fires, wind and flood damage, power outages, natural disasters, etc.
(5) When, for any other reason, the Company deems any discontinuation or suspension to be necessary

2. The Company shall not be liable for any damages, whether direct or indirect, with respect to damages caused to users and third parties due to the user’s use of or inability to use the App, or the use of or inability to use any External Services; damages caused to users arising from or in connection with the breach of any of the provisions of these Terms of Use by the user or by other users; or damages caused to users arising from or in connection with any action taken by the Company prescribed in the preceding paragraph. Further, the Company shall not be liable for any dispute between a user and a telecommunications company over any communication charges arising from the use of the App.

Article 12 (Disclaimer and Compensation for Damages)

1. The Company will not be liable for any damages caused by the discontinuation, termination or changes made to the content of the App or any claim, litigation, or damages arising from the user’s use of the App, or the publication or distribution of videos (including ordinary damages, special damages, direct damages, consequential, indirect, ancillary and incidental damages, lost profits, and all other types of damages; regardless of whether the Company could have foreseen that such damage would occur; the same shall apply hereinafter in this Article) or for any usage of External Data.
2. The Company will not be involved in, or be responsible for the user’s usage environment for the App.
3. The Company makes no warranty that the App will meet the user’s specific purpose, has the expected functions, commercial value, accuracy or usefulness, that the user’s use of the App complies with the laws and regulations or internal rules of any industry organization applicable to the user, or that no defects will arise.
4. The Company makes no guarantee that the App is compatible with all information devices, and users shall acknowledge in advance that malfunctions may occur in the operation of the App due to upgrades of the OS of the devices used for the App. The Company makes no guarantee that any malfunctions that may occur will be resolved through modifications made to the program by the Company. Furthermore, Company makes no guarantee that External Data will function properly (Including that videos created with such data will play or save properly), nor that the App will function properly when used to create videos longer than the recommended limits specified by Company.
5. Users acknowledge in advance that the use of all or part of the App may be restricted due to changes in the terms of use and operation policies pertaining to Oculus.
6. The Company will not be liable for any damages caused directly or indirectly to the user as a result of using the App.
7. The Company will not be liable for any loss of opportunity, interruption of business, or any other damages caused to users or any other third party, even if the Company has been notified of the possibility of such damages in advance.
8. The provisions of paragraphs 1, 2, 6 and 7 shall not apply if this contract falls under a consumer contract stipulated in Article 2, paragraph 3 of the Consumer Contract Act. In such a case, if the damages caused to the user are due to the Company's gross negligence and not based on the Company's contractual default or act of tort, the Company shall be liable for compensation for damages up to the amount equivalent to the purchase price of the App and assets.
9. The Company shall not be responsible for any disputes or problems between a user and other users. Any dispute between a user and another user shall be resolved at their own responsibility and no claim shall be made against the Company.
10. If a user causes damage to another user or a dispute with a third party in connection with the use of the App (including but not limited to damages or disputes arising in connection with violations of paragraph 2 of Article 8 Prohibited Acts), the user shall compensate for such damage or resolve such dispute at the user’s own expense and responsibility, and shall not cause any inconvenience or damage to the Company or the rights holder of an asset.
11, If a third party makes a claim against the Company for compensation for damages, etc. due to the actions of the user, such claim shall be resolved at the user’s expense (attorney’s fees) and responsibility. If the Company pays compensation for damages to the third party, the user shall pay the Company all costs (including attorney’s fees and lost profits), including said compensation for damages.
12. If the user causes damage to the Company in connection with the use of the App, the user shall compensate the Company for such damage (including litigation expenses and attorney’s fees) at the user’s expense and responsibility.

Article 13 (Changes to and Termination of the App)

1 The Company may, as it deems necessary, change the content of the services provided (including changes to functions or specifications and upgrades of the App), or terminate the provision thereof. In the event the Company terminates the provision of the App or the use of part of the services, the Company will, in principle, inform users in advance by notification or public announcement on the website of the App or within the App.
2. The Company will not be liable for any damage suffered by users arising from any changes made to the content of the services provided or termination of the provision thereof.
3. With respect to paid assets, the user agrees in advance without objection that if the prescribed period for the asset has expired, if the provision of the asset on the App is terminated, or if the provision of the App is terminated, the user shall lose all rights to use the asset, and shall thereafter be unable to use the same.

Article 14 (Amendment of these Terms of Use)

1. The Company may amend the content of these Terms of Use if it deems any changes to be necessary.
2. In the event any amendment is made to these Terms of Use, the Company will inform users of the effective date and content of the amended Terms of Use by notification or by posting the information on the App or by other appropriate methods prescribed by the Company.
3. The user shall be deemed to have agreed to the amended Terms of Use without objection at the time the user uses the App after the amendment of these Terms of Use.

Article 15 (Confidentiality)

The user shall keep confidential any non-public information disclosed by the Company to the user in connection with the App which the Company has requested be kept confidential, except with the prior written permission of the Company.

Article 16 (Prohibition of Assignment)

1. Users shall not assign, transfer, grant security interests, or otherwise dispose of all or part of its status under these Terms of Use or its rights or obligations pursuant hereto to any third party without the prior written consent of the Company.
2. The Company may, at its sole discretion, assign all or part of the business relating to the App to another company, and in the event it assigns the business relating to the App to another company, the Company may, as part of such business assignment, assign users’ status under the Use Agreement and rights and obligations pursuant to these Terms of Use, in addition to users’ registration information and other customer information, to the assignee of such business assignment. Users shall be deemed to have agreed to such assignment in advance in this paragraph. The business assignment referred to in this paragraph shall include, in addition to the usual form of business assignment, a company split or any other form that would result in a business transfer.

Article 17 (Communication and Notification)

1. Inquiries relating to the App, or other communication or notifications from users to the Company, and communication or notifications from the Company to users including notifications regarding changes to these Terms of Use, shall be made through the method specified by the Company.
2. When the Company sends a communication or notification to the user’s email address or other contact information included in the user’s registered information, the user shall be deemed to have received such communication or notification.

Article 18 (Severability)

If any provision of these Terms of Use or any part thereof is held invalid or unenforceable under the Consumer Contract Act or any other law or regulation, the remaining provisions of these Terms of Use and the remainder of any provision held invalid or unenforceable shall continue in full force and effect.

Article 19 (Governing Law and Court of Jurisdiction)

1. These Terms of Use and the Use Agreement are governed by and construed in accordance with the laws of Japan.
2. The Tokyo District Court shall have exclusive jurisdiction over any disputes that arise between the Company and the user in connection with the App or these Terms of Use.
